Terms of Service

1. Acceptance of terms

By signing up for or using any Tukios, LLC ("Tukios") product or service, you agree to these Terms of Service. If you are agreeing on behalf of a funeral home or other organization, you represent that you have authority to bind that organization.

2. Account & access

You are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under your account. Notify us immediately at support@tukios.com of any unauthorized use or security concern.

3. Acceptable use

You agree not to:

• Use Tukios for any unlawful purpose or to host illegal content
• Attempt to circumvent authentication, rate limits, or usage quotas
• Reverse engineer, decompile, or attempt to extract source code from our software
• Use the service to send spam or unsolicited commercial communications
• Impersonate another person, entity, or Tukios staff member
• Upload content that is obscene, defamatory, or violates the privacy or rights of others

4. Customer content

You retain ownership of content you upload to Tukios ("Customer Content"). You grant Tukios a non-exclusive license to process, store, and display Customer Content solely for the purpose of providing the services to you. We will not use Customer Content to train third-party AI models.

5. Family data & memorial pages

Funeral home customers are the controllers of information about deceased persons and their families. Tukios acts as a processor of that information on the funeral home's instructions. Funeral home customers are responsible for:

• Obtaining necessary consents from families before publishing memorial content
• Responding to family requests to edit, remove, or restrict memorial content
• Ensuring information about minors is only used with appropriate authorization

6. Fees & billing

Fees are specified in your order form or subscription agreement. Unless otherwise stated, subscriptions renew automatically at the end of each billing period. You may cancel renewal at any time through your account settings or by contacting support@tukios.com. Fees already paid are non-refundable except as required by applicable law.

7. Intellectual property

Tukios, its logos, software, designs, and documentation are the intellectual property of Tukios, LLC. Nothing in these Terms transfers ownership of our IP to you. You receive only the license to use the services as described.

8. Term & termination

Either party may terminate a Tukios subscription for convenience with 30 days' written notice. We may suspend or terminate accounts immediately for material breach, non-payment, or violations of our acceptable use policy. Upon termination, you may export your data for up to 60 days before it is permanently deleted.

9. Warranties & disclaimers

We warrant that Tukios will perform materially as described in our published documentation. EXCEPT AS EXPRESSLY STATED, TUKIOS SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUKIOS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO THE FEES PAID BY YOU TO TUKIOS IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Governing law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Weber County, Utah.
